This AGREEMENT is made between the American Land Title Association, 601 Pennsylvania Ave NW, Suite 750, North Building, Washington, DC 20004 (ALTA) and the above referenced speaker.
Engagement: ALTA engages Speaker to present an educational session to the attendees of ALTA EDge 2026 currently scheduled to take place on March 18-20, 2026 (Event). This includes any Encores of the Session at the Event.
Compensation: As consideration for services to be rendered by Speaker under this Agreement, ALTA agrees to provide speaker with the event discount benefits listed on the separate offer letter provided to Speaker. These discounts are not applicable to any other ALTA events than the listed Event, nor transferable to other persons.
ALTA shall provide for those items and services specifically identified in this Agreement. No additional costs for items, services, or expenses will be payable by ALTA without its prior written consent.
Speakers Obligations: As part of the Engagement, Speaker shall:
- Provide ALTA with all required materials, information, blog posts or deliverables in accordance with the schedule listed in the offer letter.
- Attend any speaker training sessions provided by ALTA.
- Promptly reply to all communications and requests for information from ALTA.
- Notify ALTA immediately if an emergency should prevent the Speaker from meeting his or her obligations under this Agreement.
- Warrant that all materials and content presented by Speaker do not infringe or violate any copyright, trademark, patent or intellectual property rights of any person or entity.
- Refrain from any type of marketing, promotion or selling of any particular program, product or service during the Engagement. Parties understand and agree that ALTA cannot attest to the content or quality of such product or service and such promotion could be interpreted as an endorsement of said item(s), and that, as solely determined by ALTA, contrary actions by Speaker could result in (1) ALTA making statement(s) that it does not endorse the program. product or service, and (2) restriction or prohibition of the Speaker from further speaking engagements at ALTA events.
- Not represent themselves to be an employee or agent of ALTA. Speaker shall state that Speaker’s opinions are those of Speaker and NOT those of ALTA or its members. If any media or other materials are used, they shall so reflect these conditions.
- Not denigrate, disparage, or insult ALTA , the industry, or any of its members in any way.
ALTA’s Obligations: As part of this Engagement, ALTA shall:
- Provide the Speaker with all necessary equipment and audiovisual support.
Presentation, Release & Recording: Speaker understands that ALTA promotes the Event and the Speaker’s ALTA session to its membership and the entire industry. Speaker grants ALTA a nonexclusive and royalty-free right and license to reproduce, publicly display, and distribute session materials, description, photograph, and biography, which may include ALTA's use for publicity and promotional purposes. ALTA will not modify photographs or biographical information except to fit size requirements for any publicity and/or promotional materials without Speaker’s prior approval. ALTA reserves the right to edit any session descriptions.
Speaker acknowledges that ALTA may make recordings of all Sessions available for educational purposes to its members on a password protected section of ALTA’s website.
Speaker gives to ALTA an irrevocable, royalty-free, non-exclusive license to use, display, publish, exhibit, and distribute all or portions of the photographs, films, videotapes, audio recordings and copies of images recorded from the Session in any form in ALTA’s publications including but not limited to ALTA’s website, YouTube page, livestream and other social media platforms, which may not be password protected, and may be available to the general public. ALTA shall not use Speaker’s name and likeness as an endorsement of the Event or ALTA without Speaker’s prior written consent.
Independent Contractor Relationship: Speaker is an independent contractor. Speaker is not an employee, servant, agent, partner of, or entering into a joint-venture with, ALTA.
Failure to Perform/Cancellation: ALTA reserves the right to terminate this Agreement and replace Speaker without cause, or for cause if Speaker does not timely meet its Obligations under this Agreement. If terminated for cause by ALTA, then in no event shall ALTA be liable for any damages; costs and expenses. In the event of termination without cause by ALTA, ALTA shall not be liable for any expenses, costs, or damages incurred by Speaker except those travel costs or expenses which are not refundable.
ALTA reserves the right to cancel any session, change the length or size of any session, or change the place of any session at its discretion at any time. In the event of cancellation at its discretion, ALTA shall not be liable for any expenses, costs, or damages incurred by Speaker except those travel costs which are not refundable.
If Speaker desires to cancel, Speaker agrees to provide thirty (30) days written notice to ALTA of cancellation prior to his/ her scheduled session. Notice of cancellation by Speaker shall be treated as Cancellation for Cause for purposes of this Agreement, and ALTA shall not be liable or responsible for any damages, costs or expenses of Speaker.
Indemnification and Release: Speaker agrees to defend, indemnify and hold ALTA, its employees, agents and volunteers harmless from and against all actions, claims, demands, damages, expenses, and liabilities (including attorneys' fees) that arise from or are connected with this Agreement and/or the Engagement. Speaker also releases and waives any and all claims, demands, or causes of action against ALTA, its employees, agents and volunteers that arise from or are connected with the Engagement and/or Agreement, any injury to employees, invitees, guests or agents of Speaker, or damage to or loss of any property of Speaker that is brought upon the Premises, or exhibited, stored, or left upon the Premises by Speaker. Any property of Speaker left upon the Premises following the Engagement shall be considered abandoned by Speaker and may be discarded by the ALTA. This paragraph shall survive termination of this Agreement.
This Agreement constitutes the entire agreement between the parties and cannot be amended except in writing signed by both parties. This Agreement shall be construed and enforced in accordance with the laws of the District of Columbia and may be enforced in any state or federal court of competent jurisdiction located in the District of Columbia.
Neither party shall be liable to the other if the failure of either party to fulfill its obligations under this Agreement is delayed or prevented by sickness, physical disability, accident, failure or delay of means of transportation, acts of God, riots, strikes, labor difficulties, civil tumult, acts of terrorism, or any act or order of any public authority or other cause similar or dissimilar. If either party is not able to perform its obligations pursuant to this paragraph that party shall notify the other party, in writing, as soon as reasonably possible and if ALTA shall request, the parties shall endeavor to reschedule Speaker’s performance and/or the Event in ALTA’s sole discretion. If the parties fail to reschedule Speaker’s performance and/or the Event then, upon written notice from either party to the other, this Agreement shall terminate upon receipt of such notice.
